As in other states, there are several elements and requirements that must be met to ensure that a contract is valid, legally binding, and enforceable in California. Contracts are meant to outline the legal rights and responsibilities of the parties involved, and it is intended to be enforceable by law. If all elements of a legally binding contract are met, an obligation is created within the parties to perform or risk liability or legal action for defaulting.
In order for a contract to be legally binding and enforceable by a court of law, it must meet all of the following elements: there must be a clear offer by the first party and an acceptance of that offer by the second party. In addition, each party must contribute a value to the contract; this is called Consideration, which comes in the form of monetary payments, exchange of goods and services, or work performance. The contracting parties must also be legally competent and have the capacity to enter into a contract. Lastly, the contract must be properly drafted with voluntary agreement of all parties involved, with fair terms.
